Diffoniq – End User License Agreement

This is the licence agreement that ships with Diffoniq and its installer — published here word for word, so it can be read before downloading. For the commercial terms of a purchase — prices, delivery, refunds — see the Terms & Conditions and the Refund Policy.

This End User License Agreement ("Agreement") is a legal agreement between you, either an individual or a single organization ("you"), and C.Sitte Softwaretechnik e.U. (Christian Sitte), Austria ("the Vendor"), for the Diffoniq software, including its executable, help files, and accompanying materials ("the Software"). By installing, copying, or otherwise using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. Evaluation

The Software is made available as a fully functional free trial. You may install and use it free of charge for evaluation purposes for a period of thirty (30) days from first use. After the evaluation period you must either purchase a license or stop using the Software and remove all copies. This evaluation period is a contractual term: the Software contains no time lock, is not disabled in any way, and will keep working – but continued use beyond thirty (30) days without a valid license is not permitted. An unlicensed copy displays a license reminder and an "Unlicensed – Evaluation" indication.

2. Grant of License

Upon purchase you receive a license delivered as a small signed text block (a "diffoniq.lic" file). The license is personal to you or your organization and is not tied to a specific computer; you may move it freely between your devices. Subject to this Agreement, the Vendor grants you a non-exclusive, non-transferable license to install and use the Software according to the license type purchased:

Seat counts for Site and Volume licenses are contractual; the Software does not technically enforce them.

3. Personalization

Your license carries the licensee name (your name, or your organization's name) as part of its signed content, and the Software may display this name (for example, in the About dialog). You may not remove, alter, or obscure this personalization, and you may not share, publish, or redistribute your license to anyone outside the scope of your license type.

4. Updates

A license entitles you to free minor and patch updates within the major version you purchased (for example, all 2.x releases under a 2.x license). New major versions may require a separate upgrade license.

5. Restrictions

Except to the extent expressly permitted by this Agreement or by mandatory applicable law, you may not: (a) reverse engineer, decompile, or disassemble the Software; (b) rent, lease, lend, sell, or sublicense the Software or your license; (c) remove or alter any copyright, trademark, or other proprietary notices; or (d) distribute a modified copy of the Software.

6. Ownership

The Software is licensed, not sold. The Vendor retains all right, title, and interest in and to the Software, including all related intellectual property rights. "Diffoniq" and the Diffoniq icon are trademarks of C.Sitte Softwaretechnik e.U. Windows is a trademark of Microsoft Corporation.

7. Third-Party Software

The Software incorporates open-source components that remain under their own respective licenses. Their copyright and license texts are provided in the accompanying THIRD-PARTY-NOTICES.txt file, installed alongside the Software. Those notices apply solely to the respective components and do not modify the terms of this Agreement.

8. Disclaimer of Warranty

To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available", without warranty of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You bear the entire risk as to the quality and performance of the Software.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Vendor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of data, profit, or business, arising out of or related to the Software, even if advised of the possibility of such damages. The Vendor's total aggregate liability under this Agreement shall not exceed the amount you actually paid for the license.

10. Mandatory Rights

Nothing in this Agreement excludes or limits liability for damage caused intentionally or by gross negligence, nor any statutory rights – including consumer warranty ("Gewährleistung") rights – that cannot be excluded or limited under applicable mandatory law. Where such law applies, the disclaimers and limitations above apply only to the extent permitted by it.

11. Term and Termination

This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. Upon termination you must cease all use of the Software and remove all copies. The provisions concerning ownership, disclaimers, limitation of liability, and governing law survive termination.

12. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Republic of Austria, excluding its conflict-of-law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for disputes arising out of or in connection with this Agreement is the competent court in Salzburg, Austria, to the extent permitted by law. For consumers, mandatory statutory jurisdiction rules remain unaffected.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and the Vendor regarding the Software and supersedes any prior agreements or representations. Should any provision be held unenforceable, the remaining provisions shall remain in full force and effect.
